Terms & Conditions
The following terms and conditions of business apply to all Service carried out by Coastal Repair Pros LLC:
1 Parties, Definitions and Interpretation
In these terms and conditions (which are referred to in this document as “these terms”), “Customer” means the customer for whom the Service are to be carried out by Coastal Repair Pros LLC “Coastal Repair Pros LLC” means Coastal Repair Pros LLC. “Contract” (Schedule A) means the agreement between the Customer and Coastal Repair Pros LLC to carry out the Service of which these terms form a part and (where these terms are a schedule to a signed agreement between the Coastal Repair Pros LLC (“the Agreement”) the Agreement, “Service” means the scope of work/tasks described in Coastal Repair Pros LLC estimate/ROM (Rough Order of Magnitude) and/or as referred to in Coastal Repair Pros LLC or any other document or email issued by Coastal Repair Pros LLC, as may be varied by agreement in writing between the parties. When signed by the customer and approved by Coastal Repair Pros LLC becomes a non-cancellable contract and the customer hereby agrees to pay the full contract price according to the details provided in the estimate/proposal and any change orders before, during or after service(s) provided. For the purposes of these terms, “in writing” includes by email and any document which is set out in a hand-held device and any signature on a hand-held screen shall be treated as in writing and shall be bilaterally agreed to and the deposit received (estimated price, material cost, work dates, and down payment received by Coastal Repair Pros LLC.). Customers shall confirm acceptance of scope of work (tasks to be completed), proposed work dates, estimated labor and materials list (respond to written estimate/ROM/quote sent via email from Coastal Repair Pros LLC) and received by Coastal Repair Pros LLC within 10 calendar days (including receipt of the deposit- deposits are non-refundable) of the send date by Coastal Repair Pros LLC. if not, so accepted in writing and receipt of deposit within the designated period shall be deemed withdrawn.
2 General
2.1 The Customer will be treated as an Account Customer or Non-Account Customer, according to Coastal Repair Pros LLC reasonable discretion. Coastal Repair Pros LLC reserves the right to refuse service to anyone for any reason any time.
2.2 All estimates/ROMs/quotes given by Coastal Repair Pros LLC, all orders and instructions given by the Customer, and all work authorizations, are governed by these terms. They supersede any other terms appearing elsewhere and override and exclude any other terms stipulated or incorporated or referred to by the Customer, whether in the order or instructions or in any negotiations or in any course of dealing established between Coastal Repair Pros LLC. and the Customer.
2.3 The Customer acknowledges that Coastal Repair Pros LLC has not made any representations (other than any expressly stated in the Agreement and/or in Coastal Repair Pros LLC’s estimate/ROM), which have induced it to enter into the Agreement, and the Agreement shall constitute the entire understanding between the Customer and Coastal Repair Pros LLC for the performance of the Service (and detailed in paragraph 4 below).
2.4 No modification to the agreement shall be effective unless made by an express written agreement or email exchange between the parties. The signing on behalf of Coastal Repair Pros LLC of any documentation of the Customer shall not imply any modification of the agreement.
3 Estimates/ROM/Quote and variations to the price
3.1 Any estimate/ROM/quote may be given either verbally or in writing by Coastal Repair Pros LLC is subject to withdrawal by Coastal Repair Pros LLC at any time before receipt of an unqualified acceptance from the Customer and shall be deemed to be withdrawn unless so accepted and deposit received within ten (10) calendar days from its date of Coastal Repair Pros LLC terms being accepted. The price(s) estimated/proposed are subject to change if not accepted within 10 days or if the work does not commence within 90 days.
3.2 Unless otherwise specified by Coastal Repair Pros LLC in the relevant estimate, an estimate is not a firm or fixed price quotation. It is an estimate of the likely minimum cost of the Service, based on the information made available to Coastal Repair Pros LLC. Coastal Repair Pros LLC final price will be calculated on the basis specified in the estimate, if any, or if none, in accordance with Coastal Repair Pros LLC’s Schedule of Rates applicable at the time the Service are carried out and may be increased above (but not reduced below) the specified price. Furthermore, Coastal Repair Pros LLC reserves the right to increase the price before carrying out the Service by an amount equivalent to any increase to Coastal Repair Pros LLC in the cost of relevant materials, labor, equipment hire or transport since the date upon which Coastal Repair Pros LLC’s estimate, written, emailed or oral, was given, save that if this would increase the estimated price by more than 30%, the Customer may cancel the Contract provided it does so before the Service are begun, any relevant materials are ordered or any relevant equipment is hired.
3.3 Coastal Repair Pros LLC charge a fee for the collection of materials at the rate of 20% of the material costs from its suppliers except with respect to work for which there is an estimate. If the collection occurs whilst Coastal Repair Pros LLC is on site, the time taken will be treated as an addition to the quotation and charged at the relevant rate. If the materials are ordered for subsequent collection and delivery, a charge may be made by Coastal Repair Pros LLC of $250 for each delivery and/or pick up of materials. Materials will be supplied at retail cost plus sales tax plus Coastal Repair Pros LLC normal mark-up to cover handling, stock maintenance etc. Customers are responsible for all material costs for materials utilized as part of their service over and above the estimated materials. Coastal Repair Pros LLC cannot offer any guarantee to work if the materials are supplied by the customer. Materials utilized on a project are the sole property of Coastal Repair Pros LLC until payment is made in full for the job. It is common for extra materials to be ordered however, if not utilized on the project remain the sole property of Coastal Repair Pros LLC. Coastal Repair Pros LLC offer no refunds for materials. Should you wish to return/change out materials we are happy to help. There is a 20% restocking charge to cover time, any refund excludes the cost of postage & packing and supplier restocking fees. Should there be any delay in the work or the work takes longer to complete due to the materials supplied by the customer, Coastal Repair Pros LLC will make an additional charge for all delays and additional work. The customer shall give Coastal Repair Pros LLC and its subcontractors right of trespass to retrieve materials, tools, equipment, and the like before, during and after project completion (or any stop work).
3.4 As you know not all projects are created equally. This is why we use a three- tiered hourly pricing model range. *ALL jobs are based on a minimum 4-hour charge (per person) for each tier per job. Rates are for labor only and basic materials such as basic nails and screws. Customers are responsible to pay for / acquire all materials and specialty supplies separately. We use a tried/combined tiered pricing model depending on the work you choose to have done. In the event, the client requests emergency, evening (after 5 PM EST), weekend or holiday service call rates are subject to be increase by up to 50% per hour. Rates are at the complete discretion of Coastal Repair Pros LLC and can vary (+/-) based upon but not limited to the scope of work, duration, and travel time.
3a Estimates/ROMS/Quotations Coastal Repair Pros reserves the right, at their full discretion to provide an estimate/proposal, rough order of magnitude, or quotation based on the scope of work.
3a.1 Unless otherwise specified by Coastal Repair Pros LLC where the Customer is provided with a Quotation/Estimate/ROM by Coastal Repair Pros LLC that price shall be valid and open for acceptance within ten calendar (10) days unless a longer time is specified on the face of the estimate, ROM, or Quotation and, if not so accepted in writing (and deposit received by Coastal Repair Pros LLC) within the designated period shall be deemed withdrawn.
3a.2 Before the commencement of work and the scheduling of service Coastal Repair Pros LLC reserves the right to require the Customer to pay a deposit of 50% (labor and materials) against the full Estimate/ROM/Quotation Value on all labor and material above $1000.00. This deposit allows us to secure your time slot specifically for you and prepare for your work. Deposits are non-refundable. The balance of labor and materials are due upon completion.
4 The Service / Work
4.1 All descriptions, illustrations etc. contained in any catalogues, price lists or advertisements, or otherwise communicated to the Customer, are intended merely to present a general idea of the Service and nothing contained in any of them shall form a part of the Agreement.
5 The Price
5.1 The price payable by the Customer is calculated as specified in paragraph 3 above and may be stated on the Invoice or where no price is stated our current standard price for the services provided. The charge shall consist of the cost of materials supplied by the Company and / or third party utilized by Coastal Repair Pros LLC and the amount of time spent/labor in undertaking the Service (including reasonable time spent obtaining unstocked parts and materials as stated in 3.3 above) charged in accordance with the Company’s current Schedule of Rates or quote given by Coastal Repair Pros LLC. Combination of rates may be utilized to determine pricing structure depending on the type of work to be described in the statement of work, Quote, Estimate/ROM to account for varying degrees of skills and level of work complexity. Prices for service, labor, products, materials, rental cost and the like are subject to change without notice.
5.2 Site Conditions: The scope of work/Estimate/ROM/Quote and pricing for this agreement are based on conversations and any walkthroughs completed by Coastal Repair Pros LLC and the property owner or representative. Coastal Repair Pros LLC has taken reasonable measure to ensure the scope of work/Estimate/ROM/Quote and pricing represent the entire project requirements but cannot guarantee a final price due to the possibility of unforeseen complication(s).
In the event that unforeseen complications, including but not limited to, mold, termites, structural damage, wet or dry rot, decay, customer not providing valid permits, HOA approvals or building code violations are discovered after the project begins, Coastal Repair Pros LLC will cease work on the project and draft a change order listing any additionally required materials, services and labor. The customer agrees that any unforeseen complications may increase the final price of the project. If the customer does not provide appropriate HOA or local municipality approvals/permits within ten (10) calendar days Coastal Repair Pros LLC shall consider the job permanently stopped and the customer forfeits the deposit.
5.3 Change Orders: Coastal Repair Pros LLC will perform only those services approved in writing by the customer. If the customer shall, at any time, requires / requests services not listed in the scope of work, estimate/ROM, quote, a written change order shall be created and signed by both parties prior to the performance of such work (as well as any additional deposits received by Coastal Repair Pros LLC).
6 Payment
6.1 Non-Account Customers: Payment by the Customer is due in full (labor and all materials) on completion of the Service. Payment must be made on the same day as the work are completed. Payment can be made by cash, check or credit card. Credit card payments are subject to a convenience fee for each transaction (full payment, partial payment, deposit and the like) this fee covers convenience fees of 4%. Please call us directly to determine the fee based on your service. See Clover Terms, Conditions. and Security Policies at www.Clover.com. There will be a $35.00 fee charged for all returned checks. Balances over 7 days are subject to 3% service charge per month.
6.2 Account Customers: Coastal Repair Pros LLC will seek to submit invoices to Customers within 5 days of completion of the Service and subject to paragraph 8 below, payment must be made by the Customer within 30 days after the date of issue of the invoice. Terms in 6.1 apply as it relates to credit card use.
6.3 Where the Customer is represented by a third party (such as a managing agent, realtor, contractor or other representative), in the event of non-payment by the Customer, the third party will be responsible for payment unless Coastal Repair Pros LLC has agreed otherwise in writing. Each service call to assess the work costs $89.00. Upon mutual work acceptance the $89.00 will be credited to the total cost of the work.
6.4 Coastal Repair Pros LLC shall be entitled to interest on a monthly basis and reserve the right to charge such interest on any amount not paid on the due date for payment from such due date until payment in full at 3% per month. Customer is granted a seven (7) day grace period from receipt of invoice.
6.5 Coastal Repair Pros LLC shall not be required to issue or deliver any certificates, guarantees or other similar documents regarding the Service until payment has been made in full.
6.6 Non-payment for service and materials provided by Coastal Repair Pros LLC will result in a lien on the property the work was performed on and / or mediation, or court action. In the event of mediation or litigation the customer shall pay all attorney fees, court costs, and any fees incurred on appeal.
7 Commencement and Completion Dates
7.1 Dates specified for the commencement and completion of the Service are estimates only. Coastal Repair Pros LLC shall use all reasonable endeavors to ensure that it will attend on the date and time agreed. However, it accepts no liability in respect of non-attendance or late attendance on site or for the late delivery of materials. Time shall not be of the essence of the Agreement except as provided for in paragraph 16. Customer shall not interfere with access to the property or delay Coastal Repair Pros LLC from the ability to do the work. Customer delays will incur additional labor costs on a daily basis that will be at an additional cost and/or as well as potential rescheduling and higher material costs.
8 Inspection of the Service / Refunds / Warranty
Once the service is complete, the customer will be asked to review/test/view our work completed. Payment of service(s) in full shall also indicate the customer has reviewed/tested/viewed our work, and the service is completed to their satisfaction. All work to be completed in a workman like manner according to standard practices. No warranty is given until all invoices are paid in full.
8.1 NO REFUNDS SHALL BE ISSUED ON COMPLETED WORK OR ON-GOING WORK/SERVICES/REPAIRS; deposits are non-refundable.
8.2 Coastal Repair Pros LLC does not offer or imply any warranty for materials used for the project. Any defect or failure of parts or materials used in the project shall be the sole responsibility of the customer. Coastal Repair Pros LLC shall extend a warranty for all labor for a period of three (3) calendar days. This warranty covers workmanship only for the service provided. In the event the initial service/diagnostic solution did not resolve the customer’s issue it shall not be warrantied and will require a separate service call and associated costs of labor and material per request.
9 Indemnity
The Customer shall indemnify Coastal Repair Pros LLC against all actions, suits, claims, demands, losses, charges, costs and expenses which Coastal Repair Pros LLC may suffer or incur in connection with a claim by any third party resulting from a breach of the Customers obligations, undertakings, representations and warranties in connection with this Agreement.
10 Whole Agreement and Exclusion of Liability
10.1 These terms set out Coastal Repair Pros LLC entire liability in respect of the Service and Coastal Repair Pros LLC liability under them shall be in lieu and to the exclusion of all other warranties, conditions, terms and liabilities, expressed or implied, in respect of the Service and the quality thereof.
11 Waiver of Consequential and Other Damages
11.1 Coastal Repair Pros LLC and owners hereby waives any and all claims against each other for consequential, incidental, or special damages arising out of or relating to any agreement or service provided by Coastal Repair Pros LLC. Coastal Repair Pros LLC shall not be liable for cracked or broken surfaces/interior/exterior/surrounding areas, damage to plastered areas/stucco and the like, previously damaged areas, electrical lines, leaks or damage caused by old or existing elements near any repairs make by Coastal Repair Pros LLC. Swales, septic systems, sprinkler systems, water lines, electric lines, cable lines, gas lines and the like are the customer/owners responsibility. Capping sprinklers are at the client's option but not the responsibility of Coastal Repair Pros LLC. The moving, removal, relocation of plants, bushes, hedges, grass, stumps, trees, pavers, stepping- stones, rocks, furniture, appliances, boxes, equipment, vehicles, wall hangings or any other objects that interferes with the access to, near or on project site the prohibits workers' adequate space. project equipment and the like are NOT INCLUDED in the proposal and ARE the responsibility of the customer to manage prior to the commencement date.
11.2 the repair or making good of any defect pursuant to its undertaking in paragraph 13 below and subject always to paragraph 8 above.
12 Access
12.1 The Customer shall provide clear and safe access to enable Coastal Repair Pros LLC to undertake the Service and will make all necessary arrangements with the proper persons or authorities for any traffic controls and signals or other permits or permissions required in connection with the carrying out of the Service. The Customer will at all times provide a safe working environment for Coastal Repair Pros LLC and its employees, agents, franchisees and sub-contractors for the purposes of carrying out the Service. The customer shall carry current liability insurance. The Customer must obtain any permission for Coastal Repair Pros LLC to proceed over property belonging to third parties. The Customer shall indemnify Coastal Repair Pros LLC against all claims of whatsoever nature made by third parties arising out of the presence of Coastal Repair Pros LLC its employees, agents, or sub-contractors on the Customer’s property where such claim results directly from negligence on Coastal Repair Pros LLC’s part. The Customers shall be liable to Coastal Repair Pros LLC for all loss of damage whether direct, indirect or consequential which is suffered by Coastal Repair Pros LLC as a result of failure or delay by the Customer in performing the obligations referred to above.
The Customer or their representative hereby give permission to, Coastal Repair Pros LLC’s agents or assigns (including, but not limited to, employees, authorized contractors, to enter upon the Site/property (address on the Estimate/ROM, Statement of Work or quote) to perform services as outlined in the statement of work, estimate, ROM or quote at the Site/property. This permission is effective two (2) days prior to the commencement date of work to be performed through two (2) days post completion of the project. The customer shall grant Coastal Repair Pros LLC the right to trespass to retrieve materials, supplies, tools, equipment or anything belonging to Coastal Repair Pros LLC and its subcontractors.
2. The permission granted by the customer/owner under this Agreement is contemplated to be used for the following activities that may be performed by Coastal Repair Pros LLC, subcontractors and third-party providers:
a. Preparation for work, doing the work, post work, clean up, delivery or pick up of materials, tools, equipment including, but not limited to.
b. Customer shall give access to Coastal Repair Pros LLC, their subcontractors and third-party providers access to their company property at any time (7AM-7PM EST) two days (2) before, during and two (2) days after the project if it is on a scheduled project workday or not. Customer shall not withhold access of company(s) property for any reason and will make reasonable accommodations for access.
c. In the event the customer ends service prior to completion hereby gives access to Coastal Repair Pros LLC and their subcontractors to retrieve all equipment, tools, materials, supplies owned by each entity. Access shall be provided by the customer beginning immediately after termination for the following 48 hours to remove / retrieve company(s) property.
d. On-Site observation and oversight of the project by authorized Coastal Repair Pros LLC representatives.
13 Defects
13.1 Subject to paragraph 8 above and the exclusions listed below, Coastal Repair Pros LLC undertakes to repair or make good any defect in completed work which appears within three (3) calendar days of completion of the same to the extent that such defect arises from a breach of Coastal Repair Pros LLC’s obligations under the Agreement provided that details of the defect are notified by the Customer to Coastal Repair Pros LLC in writing with such period that Coastal Repair Pros LLC and its insurers are given the opportunity of inspecting the work and the alleged defect. This undertaking shall only apply to work carried out and completed and invoiced by Coastal Repair Pros LLC and which is paid for by the Customer by the due date for payment ascertained in accordance with paragraph 6 above. If Coastal Repair Pros LLC returns to the site at the Customers request to review a claim under this undertaking and it transpires that the defect had not arisen as a result of a breach on the part of Coastal Repair Pros LLC, Coastal Repair Pros LLC reserves the right not to carry out any work under this paragraph 13 where the Customer cannot evidence that the work originally carried out and completed by Coastal Repair Pros LLC or where payment has not been made in full for such work.
Exclusions are:
– Parts and materials will be provided only with the benefit of the manufacturer’s / supplier’s guarantee and are not guaranteed by Coastal Repair Pros LLC
– Systems, parts, materials, structures not installed by Coastal Repair Pros LLC
– Any recall arising from circumstances or factors known to the Customer but not notified or disclosed to Coastal Repair Pros LLC prior to the work having been undertaken.
– Defects resulting from misuse, willful act, or faulty workmanship by the Customer/their tenant/guest and the like or anyone working for or under the direction of the Customer (other than Coastal Repair Pros LLC.)
– Structural defects encompassing but not limited to wood rot (wet and dry), decay, weather erosion, subsidence and its resultant effect
– Damage to drainage systems caused by root penetration or any other outside force
– Any work to repair, including but not limited to, existing locks, fixtures, furniture, parts, cabinets, doors, windows, fences, structures, hardware, raw materials, flooring, tile, facia, soffit, siding, pavers etc. either existing on site, provided by the customer or a third party (ex. Lowes, Home Depot, Locksmith.) not supplied directly by Coastal Repair Pros LLC
13.2 We do not guarantee, represent or warrant that your use of our service will meet your expectation, be error free or without imperfections, includes but not limited to, due to the nature of our work and the condition of the site / pre- existing material/structural damage, prior renovation or fixes, age and condition of the elements to be repaired.
14 Force Majeure
14.1 Coastal Repair Pros LLC will use all reasonable endeavors to carry out the Service on the agreed dates but shall not be under any liability to the Customer if it should be either impossible or impracticable to carry out the Service on the agreed dates or at all, by reason of strike, lock out, industrial dispute, act of God or any other event or occurrence beyond Coastal Repair Pros LLC’s control.
15 Customer’s Liability
15.1 The Customer shall be liable for:
– Any loss, damage or injury, whether direct or indirect or consequential, resulting from failure or delay in the performance of the Customer’s obligations under these terms
– Providing all necessary power and a clean water supply for Coastal Repair Pros LLC’s use in the execution of the Service
--Permits, licensing and Approvals. Customer is responsible for procuring any permits or approvals (HOA) required for the completion of the work/project listed in the scope of work/estimate/ROM/quote.
-- Parts, materials, rental equipment etc. delivered to the customer’s property (to include but not limited to Coastal Repair Pros LLC., a third party, sub-contractors) becomes the full responsibility of the customer to include but not limited to any and all damage, theft, weather/water/heat damage, fire, chemical and vandalism.
– The safety of both material, tools, equipment and machinery belonging to or hired in by Coastal Repair Pros LLC or its employees, agents, and sub-contractors and shall indemnify Coastal Repair Pros LLC against its loss, theft or damage
15.2 The Customer must let Coastal Repair Pros LLC know of any dangerous gases, liquids or other materials or of anything which the Customer believes may present a hazard or danger to any person who is due to carry out the Service before such work is started.
15.3 The Customer must provide Coastal Repair Pros LLC with all necessary details in respect of any relevant requirements specified by the Inspectors or similar regulatory authorities.
16 Cancellations and Rescheduling Policy
Your project and well-being are very important to us. We understand that sometimes, unexpected events can occur, making schedule adjustments. If you need to reschedule your job, we respectfully request at least a fourteen (14) calendar day written notice prior to scheduled work start date without incurring a rescheduling fee. It is the customer’s responsibility to ensure that Coastal Repair Pros LLC has received the written notice—that is, please verify the receipt of notice by calling Coastal Repair Pros LLC and speaking with us directly in the event you do not receive confirmation to your notification via email.
16.1 If the Customer cancels the contract without Coastal Repair Pros LLC’s consent the Customer shall indemnify Coastal Repair Pros LLC against all loss, damage, claims or other actions arising out of such cancellation unless otherwise agreed in writing, and for the avoidance of doubt any such cancellation is without prejudice to Coastal Repair Pros LLC right to payment in accordance with paragraph 6. Deposits are non-refundable.
16.2 If Coastal Repair Pros LLC is unable to gain access to the Customer’s premises or carry out the full Service due to something the client has not done i.e. not moved heavy items or car in the way the Customer will be liable to pay the full amount of the estimate/quotation, should Coastal Repair Pros LLC need to return to finish the Service the customer will be liable for additional costs. This shall apply irrespective of the Service having been booked by the Customer or by someone acting on the Customers behalf eg. tenant.
16.3 If the Customer reschedules the Service to be undertaken pursuant to a quotation/estimate accepted by the Customer, subject to paragraph 3.2 above or pursuant to a Quotation/estimate subject to paragraph 3a above the Customer shall be liable for a rescheduling charge of $1000.00 plus all material and labor cost increases.
Right to cancel: The customer may cancel the contract at any time before midnight on the third business day after the date the contract is signed by the customer and materials have not been ordered or any work has begun. Cancellation notification shall be in writing and received by Coastal Repair Pros LLC before midnight on the third business day after the date the contract was signed by the customer. Deposits are non-refundable. All contracts shall be considered non-cancelable post the three-day (3) cooling off period as stated above and that materials have not been ordered or any work has been done.
17 Removal of Waste Materials
17.1 Unless agreed in writing between the parties, the Customer will be responsible for the removal from site of all waste materials resulting from the Service. Coastal Repair Pros LLC can remove debris at an additional cost (please ask for an estimate).
19 Waiver, Variation
19.1 No waiver by Coastal Repair Pros LLC of any breach by the Customer shall operate as a waiver of any preceding or subsequent breach by the Customer. No variation shall be effective against Coastal Repair Pros LLC unless sanctioned in writing by Coastal Repair Pros LLC. No forbearance or delay on Coastal Repair Pros LLC part shall prejudice Coastal Repair Pros LLC’s rights and remedies under this agreement.
20 Mediation and Governing Law
20.1 Customer and Coastal Repair Pros LLC agree to make reasonable efforts to resolve any disagreements related to this agreement between themselves.
Claims, disputes, or other matters in controversy arising out of or related to the service or agreement shall be subject to mediation as a condition precedent to any formal legal action. A request for mediation shall be made in writing and delivered to the other party to the agreement. The request may be made concurrently with the filing of legal proceedings but, in such event, mediation shall proceed in advance of such legal proceedings, which shall be stayed pending mediation for a period of 60 days from the date of filing, unless stayed for a longer period by agreement of the parties or court order. The customer shall pay for all mediation fees, attorney fees, court costs, and any fees incurred in appeal on behalf of Coastal Repair Pros LLC. The mediation shall be held in Volusia County, Florida unless another location is mutually agreed upon. Agreements reached in mediation shall be enforceable as settlement agreements in any court having jurisdiction thereof. In the event any provision set out in these Terms and Conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions and the remainder of the provisions held invalid shall not be affected or effected. These Terms and Conditions and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the state of Florida and the exclusive jurisdiction of Volusia County, without regard to its choice of law rules and the exclusive venue and jurisdiction for any dispute related to this agreement shall be entitled to reimbursement of it's, his, or her costs and attorneys' fees, including any and all appeals, from the non-prevailing party.to the exclusive jurisdiction of Volusia County Florida. The decision shall be considered final.
